4. Client responsibilities
To enable successful delivery, you agree to:

- Review and approve deliverables within agreed timeframes.
- Ensure that materials you supply do not infringe third-party rights or violate applicable law.
- Pay invoices in accordance with agreed payment terms.
5. Intellectual property
Unless otherwise agreed in writing, upon full payment of applicable fees, you will receive the rights specified in your project contract to bespoke deliverables created specifically for you. Devfied retains rights to pre-existing tools, frameworks, libraries, methodologies, and general know-how used in delivery.
We may showcase non-confidential work in our portfolio with your prior approval where required by contract.
6. Confidentiality
Each party agrees to keep confidential any non-public business, technical, or financial information received from the other, except where disclosure is required by law or authorised in writing. Mutual NDAs may supplement these Terms for sensitive engagements.
7. Fees and payment
Fees, billing schedules, and expenses are set out in your proposal or contract. Unless stated otherwise, invoices are payable within the period specified on the invoice. Late payment may incur interest in line with applicable law and may suspend work until accounts are brought current.
8. Warranties and disclaimers
We deliver services with reasonable skill and care consistent with industry standards. Except as expressly stated in a signed contract, services and the website are provided “as is” without warranties of any kind, whether express or implied, including implied warranties of merchantability or fitness for a particular purpose.
9. Limitation of liability
Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited under applicable law.
Subject to the above, Devfied shall not be liable for indirect, incidental, special, or consequential loss, including loss of profit, revenue, data, or business opportunity. Our total aggregate liability arising from or related to a project shall not exceed the fees paid by you for that project in the twelve (12) months preceding the claim, unless a different cap is agreed in writing.
10. Termination
Either party may terminate a project engagement in accordance with the termination provisions in the applicable contract. On termination, you shall pay for work performed and committed costs up to the effective date of termination, as set out in your agreement.
11. Governing law
These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over disputes arising from or relating to these Terms or use of our website, without prejudice to mandatory consumer protections where applicable.
12. Changes to these Terms
We may update these Terms from time to time. Continued use of the website after changes are posted constitutes acceptance of the revised Terms. For active projects, the Terms in effect at contract signing apply unless otherwise agreed.
